ACTIVE INSIGHT TERMS AND CONDITIONS

Introduction

This Terms and Conditions of Synology Active Insight (the "Terms") is a legally binding agreement between Synology Inc., a company incorporated in Taipei, Taiwan having its registered office at 9F., No.1, Yuandong Rd., Banqiao Dist., New Taipei City, Taiwan ("Synology") and you, or when you act on behalf of any entity, such entity ("You").

Before You use Synology Active Insight ("Active Insight"), no matter whether You purchase a Plan or use a free trial, and regardless of whether You use Active Insight directly or through the assistance of a Partner, You must agree to be bound by these Terms, which contain the terms of the relationship between You and Synology for Your use of Active Insight.

By subscribing to Active Insight, You represent and warrant that You have the full legal authority to bind the entity You represent to these Terms if You are agreeing to be bound on behalf of such entity. If You do not have the requisite authority, You may not accept these Terms or apply them. By agreeing to these Terms, You, or the entity You represent, agree to be bound by the terms herein.

Please review the following terms and conditions carefully. If You do not agree to any of the terms or conditions, please do not use Active Insight or stop using Active Insight immediately and contact Synology or the Partner for a refund, if applicable. Nothing in these Terms shall affect any mandatory statutory rights that apply to the User under applicable law.

  1. General Terms

    1. Active Insight Service

      1. No Third-Party Use. You shall not rent, distribute, license, lease, or lend Active Insight to any third party without Synology's consent.
      2. Right to Modify Services. Synology retains the right to make modifications to Active Insight and to update the hardware and software required for the implementation of Active Insight from time to time. If such modification requires Your cooperation or compliance for Your use of Active Insight, Synology will inform You in advance.
      3. Outsourcing and Subcontractor Responsibility. Synology retains the right to outsource all or part of Active Insight to its subcontractors. Synology will be responsible for the performance of the subcontractors, if any, and their compliance with Synology's standards and requirements.
      4. Free Plan Termination Rights. Synology reserves the right to terminate Your access to the Free Plan at any time in Synology's sole discretion if:
        1. there has been no activity on Active Insight for a continuous period of three hundred and sixty-five (365) days; or
        2. Synology no longer provides the Free Plan to all users.
        When reasonable and as permitted by applicable law, Synology will provide You with notice of this change ten (10) days in advance as well as an opportunity to correct any actions that led to Synology's decision.

    2. Term

      1. Duration. The term of these Terms shall be the term specified in the Plan You or Your Partner purchases for You.
      2. Renewal. These Terms will be automatically renewed for the same term of the Plan that You or Your Partner purchase for You upon the expiry day, unless You or Your Partner disables automatic plan renewal.

    3. Modification

      1. Synology retains the right to make modifications to Active Insight and to update the hardware or software requirements necessary for the use of Active Insight from time to time. Synology will make reasonable efforts to provide notice if such changes materially affect the use of Active Insight.
      2. Synology reserves the right to modify or update these Terms from time to time. Any changes or modification will be effective immediately upon posting of the revisions, and You will receive notice of material changes or modifications to these Terms. Your continued use of Active Insight constitutes Your acceptance of such changes or modifications. You are encouraged to check the content of these Terms and our website regularly.

  2. Data Protection

    1. Data Processing. You agree to the processing of Your personal data by Synology in the establishment of Your account at Active Insight and in the management thereof, and for the rendering of services to You. You further agree that personal data collected under these Terms, if any, may be transferred, stored and processed by Synology in Taiwan or by Synology's worldwide affiliates in any other jurisdiction in which the data centers are located, for the purpose of rendering the services to You. For more information about how Synology collects Your Active Insight data, please refer to the Services Data Collection Disclosure.
    2. Data Privacy. Synology will not access, use, read, obtain, or disclose any data You store in the Region unless required by You or under applicable laws or regulations.
    3. Privacy Policy. Synology abides by applicable privacy and data protection laws (including but not limited to GDPR regarding the collection, use, transfer, and retention of data from the European Union and the European Economic Area).   3. Payment & Termination

    1. Purchase and Payment

      1. Free Trial and Conversion. Depending on Your requirements, You may choose a Plan or free trial for Your use of Active Insight. If You do not cancel Your subscription, it will be converted to a paid subscription at the end of the trial period, and You hereby authorize us to charge Your credit card for the applicable service.
      2. Billing Standards. For Your use of Active Insight, You shall pay the amount shown on Your Synology Account portal. The credit card You provide will be billed on the date You purchase the Plan. The price for Active Insight is dictated by the Plan and the region You choose. The price of each Plan is shown when You choose Your Plan on the Synology Account portal. You shall pay the full amount of the price without any deduction, offset or withholding of any kind or nature or for any reason whatsoever.
      3. Billing Notification. Synology will send a notice to You seven (7) days before the expiry date of Your Plan. If You do not intend to continue to use Active Insight, You must select "Cancel" in the Synology Account portal before the expiry date of Your Plan or before the end of Your free trial. Your plan will, in that case, expire on the applicable expiry date.
      4. Automatic Renewal. On the expiry date of Your Plan, Your purchase of Active Insight will be automatically renewed and Your credit card will be re-billed in accordance with the Plan to which You subscribed, unless You selected "Cancel" in the Synology Account portal prior to the expiry date. Synology retains the right to adjust or change the content of the Plans and will inform You of material changes to the Plans at least thirty (30) days in advance of the effective date of such changes or adjustments. No such change or adjustment will prejudice Your rights under Your chosen Plan.
      5. Purchases via Partners. This Clause 3.1 does not apply to You in the event that You are using Active Insight through Your Partner. The purchase of Active Insight by Your Partner, Your Partner's payment for Active Insight and related issues shall be subject to the Synology Partner Program Agreement. Your use of Active Insight and payment thereon to Your Partner shall be governed by the service contract between You and Your Partner. For the avoidance of doubt, license keys for Active Insight obtained through Your Partner are non-transferable and non-refundable by Synology.
      6. Payment Disputes. In the event of a dispute between You and Synology, we will issue a credit memo for the affected invoice, and Synology reserves the right to suspend access to Active Insight immediately and permanently delete all associated user data until the subscription fees are paid. If You have more than three (3) disputes, Synology reserves the right to determine that Your account is at risk of non-payment or potential fraud. In such cases, Your subscription will be terminated immediately, and Your account will no longer be eligible to subscribe to a paid plan of Active Insight or add a payment method to Active Insight.
      7. Plan Cancellation. You have the right to cancel your account at any time. You can cancel a recurring subscription from your Synology Account. Canceled accounts will not be refunded for the remaining service period.

    2. Termination

      1. Data Deletion. Upon the expiration or deactivation of Active Insight, or once the retention period set by You or Your Plan has been reached, Synology reserves the right to suspend access to Active Insight immediately and permanently delete all associated user data without further notice. For plan deactivation, no refunds will be made to You for the remaining period of the Plan unless required by applicable laws.
      2. Termination via Partners. Clause 3.2.1 does not apply if You access the services through a Partner. The termination of Active Insight You purchased through Your Partner and related refund issues shall be governed by the contract between You and Your Partner.
      3. Unauthorized Account Use. Synology reserves the right to terminate or suspend any username that Synology reasonably determines to have been used by an unauthorized third party or an individual or entity other than the User to whom such username and password was originally assigned.
